These Terms and Conditions constitute a legally binding agreement between you (whether individually or on behalf of an entity, "Client", "You") and WebmakerBD ("Company", "We", "Us", or "Our"). WebmakerBD operates globally as vetted digital service providers specializing in enterprise web architecture, bespoke application development, high-converting UI/UX design, cloud DevOps, and AI workflow integration.
By signing a Statement of Work (SOW), issuing a purchase order, accessing our staging servers, or commissioning development milestones, you expressly certify that you have read, understood, and agreed to be bound by these comprehensive terms.
2. Scope of Digital Services & Change Requests
WebmakerBD provides elite digital services encompassing full-lifecycle software delivery. Each project is governed by a mutually executed Statement of Work detailing specific deliverables, technical dependencies, wireframes, and deployment schedules:
- Custom Web & SaaS Development: Responsive architectures built on modern PHP/WordPress, React, Node.js, Next.js, and Python.
- UI/UX Design Systems: Figma-driven high-fidelity prototypes, design tokens, micro-animations, and human-centered design heuristics.
- Cloud Infrastructure & DevOps: Docker containerization, CI/CD pipeline automation, AWS/GCP cloud configurations, and database clustering.
- Search Engine & Speed Optimization: Core Web Vitals engineering ensuring 90+ Google PageSpeed benchmarks.
Scope Modifications (Change Orders): Any feature requests, design alterations, or architectural revisions beyond the defined SOW will be evaluated through a written Change Request detailing supplementary development hours and associated milestone pricing.
3. Intellectual Property Rights & Code Ownership
We adhere to enterprise-standard intellectual property practices:
- 100% Client Code Ownership: Upon full and final settlement of all agreed project milestone invoices, WebmakerBD immediately assigns and transfers to the Client all worldwide rights, title, and ownership in custom source code, databases, design assets, and graphics developed specifically for the project.
- Third-Party & Open Source Licenses: Standard open-source components (e.g., WordPress GPL, MIT licensed libraries, Elementor extensions) remain governed by their respective public licenses.
- Portfolio Showcase: Unless explicitly restricted via a signed Non-Disclosure Agreement (NDA), WebmakerBD reserves the customary right to display sanitized project screenshots and case summaries in our professional portfolio.
4. Invoicing, Milestone Payments & Currency
Unless otherwise agreed in a customized Master Service Agreement, standard project engagements adhere to structured sprint milestone billing:

Invoices are issued electronically in USD, BDT, or EUR and are payable within fourteen (14) calendar days via wire transfer, ACH, Stripe, or verified corporate payment gateways.
5. 99.98% Service Level Agreement (SLA) & Bug Warranty
As trusted digital service providers, WebmakerBD stands behind our craftsmanship with an unyielding commitment to software reliability:
- 60-Day Post-Launch Bug Warranty: Every delivered project includes sixty (60) calendar days of complimentary defect remediation for any bugs, rendering discrepancies, or script breaks deviating from agreed SOW specifications.
- Managed Hosting SLA (99.98% Uptime): For clients subscribing to WebmakerBD Managed Cloud clusters, we guarantee monthly server uptime of at least 99.98%, excluding scheduled maintenance windows announced forty-eight (48) hours in advance.
- Critical Incident Response Time: Severe production outages (P1) are addressed with a guaranteed engineer response within one (1) hour.
6. Client Responsibilities & Asset Approvals
Timely project completion requires mutual collaboration. The Client agrees to:
- Supply brand assets, textual content, API access credentials, and third-party keys in a timely manner.
- Provide written feedback or milestone approval within five (5) business days of milestone presentation.
- Ensure all client-provided trademarks, photography, fonts, and materials do not infringe upon third-party copyrights.
7. Mutual Confidentiality & Non-Disclosure (NDA)
Both parties agree to hold in strict confidence all proprietary data, business logic, customer databases, trade secrets, software architectures, and financial agreements exchanged during the collaboration. This mutual obligation remains binding for three (3) years following contract termination.
8. Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law, WebmakerBD and its officers, engineers, and contractors shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, commercial interruption, or third-party cloud service disruptions.
In any event, our total aggregate liability arising out of or related to any single engagement shall not exceed the total fees actually received by WebmakerBD under the specific Statement of Work during the three (3) months preceding the incident.
9. Graceful Handover & Termination Protocol
Either party may terminate an ongoing service agreement upon fourteen (14) calendar days written notice. In the event of early termination:
- The Client pays for completed sprint milestones and verifiable engineering hours worked up to the date of notice.
- WebmakerBD promptly delivers all completed deliverables, code repositories, asset files, and documentation created up to that date.
10. Dispute Arbitration & Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Bangladesh and accepted international commercial trade practices. Any dispute, controversy, or claim arising under this contract shall first be negotiated in good faith for thirty (30) days, followed if necessary by binding commercial arbitration.
